Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you and Watch Digital LLC ("Company," "we," "us," or "our"), governing your access to and use of The Care Ratings website located at thecareratings.com and all related services (collectively, the "Site" or "Service").

Please read these Terms carefully before using the Site. By accessing or using the Site, creating an account, submitting a review, claiming a facility listing, or purchasing a subscription, you agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Advertiser Disclosure, which are incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Site.

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

We do not accept legal notices or formal correspondence submitted by physical mail. All formal legal notices must be submitted by email to legal@watchdigital.agency.

2. Eligibility

You must be at least 18 years of age to create an account or use the Site's interactive features. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Site on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

The Site is intended for use by residents of the United States and is operated from the United States. We make no representation that the Site is appropriate or available for use in other locations.

3. Description of Service

The Care Ratings is an online directory and information platform that aggregates publicly available government data about nursing homes and senior care facilities in the United States, primarily from the Centers for Medicare & Medicaid Services (CMS) Provider Data Catalog. The Site also allows registered users to submit reviews and ratings of facilities, and allows facility owners and administrators to claim and enhance their facility listings.

3.1 Nature of Information

The facility data displayed on the Site is sourced from government databases and is provided for informational purposes only. We do not independently verify the accuracy of government-sourced data. While we strive to keep data current by regularly refreshing our database from official sources, there may be a lag between updates to government databases and updates reflected on the Site.

The information on this Site does not constitute medical advice, legal advice, or a recommendation of any specific facility. Choosing a nursing home or senior care facility is a significant decision that should involve consultation with healthcare professionals, licensed social workers, and, where appropriate, legal counsel. We strongly encourage you to visit facilities in person, speak with staff and residents, and review the most current government inspection reports before making any placement decision.

3.2 CMS Data Disclaimer

Five-Star Quality Ratings, inspection reports, staffing data, and penalty information displayed on the Site are sourced from the CMS Provider Data Catalog and reflect the most recent data available at the time of our last database update. These ratings are calculated and published by CMS and are not created, modified, or endorsed by Watch Digital LLC. For the most current official data, visit data.cms.gov/provider-data.

4. User Accounts

4.1 Account Creation

To access certain features of the Site — including writing reviews, saving facilities, and filing reports — you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@thecareratings.com if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

4.3 Account Termination by User

You may delete your account at any time through your account settings. Upon deletion, your personal information will be removed from our systems within 90 days. However, reviews you have submitted will remain on the Site attributed to "Anonymous Reviewer" as described in Section 6.4 of these Terms.

4.4 Account Termination by Company

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, is harmful to the Site, or is otherwise objectionable. Grounds for termination include but are not limited to: submitting false reviews, filing bad-faith dispute reports, impersonating another person or facility, attempting to manipulate ratings, or engaging in any fraudulent activity.

5. Facility Owner Terms

This section applies to individuals and entities who claim an existing facility listing or submit a new facility listing on the Site.

5.1 Authorization Requirement

By claiming or submitting a facility listing, you represent and warrant that you are currently authorized to act on behalf of the facility you are claiming or submitting. You represent that you are an owner, administrator, or duly authorized representative of the facility. Claiming a listing without authorization is a violation of these Terms and may constitute fraud under applicable law.

5.2 Accuracy of Information

You agree that all information you provide in connection with a facility listing — including facility description, services offered, pricing, team information, photographs, and contact details — is accurate, current, and not misleading. You agree to update your listing promptly if any information changes.

5.3 Prohibited Content in Listings

You agree not to include in your facility listing any content that:

  • Is false, misleading, or deceptive
  • Infringes any third party's intellectual property rights
  • Contains personal information about residents or staff without their consent
  • Makes claims that cannot be substantiated (e.g., "best nursing home in Georgia" without documented basis)
  • Violates any applicable law or regulation, including healthcare advertising regulations

5.4 Verification Process

We use a phone-based one-time passcode (OTP) verification system to verify that claimants can receive communications at the facility's publicly listed phone number. For new facility submissions, we conduct automated quality checks and, for paid subscribers, a manual spot-check within 2 business days. Verification confirms only that the claimant can receive communications at the listed phone number or email address — it does not constitute our endorsement of the facility or verification of any claims made in the listing.

5.5 Dispute Resolution for Listings

If a dispute is filed regarding your listing, you will be notified by email and given 30 days to respond. We will review the dispute and issue a decision within 60 days of the filing date. During the dispute process, your listing remains active. Our decision is final, subject to a 14-day appeal window during which you may submit additional evidence to legal@watchdigital.agency.

6. User-Generated Content (Reviews and Ratings)

6.1 Your Content

The Site allows registered users to submit reviews, ratings, and other content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Watch Digital LLC a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, display, distribute, and create derivative works from your User Content in connection with operating and promoting the Site.

6.2 Review Standards

You agree that all reviews you submit will:

  • Reflect your genuine, first-hand experience with the facility
  • Be truthful and not contain false statements of fact
  • Not be submitted in exchange for payment, discounts, or other compensation from the facility (unless disclosed)
  • Not be submitted by a current employee, owner, or competitor of the facility without clear disclosure of that relationship
  • Comply with the FTC's Endorsement Guides (16 C.F.R. Part 255)

6.3 Prohibited Review Content

You agree not to submit reviews that:

  • Are defamatory, harassing, threatening, or abusive
  • Contain personal information about identifiable individuals (staff names, resident names, etc.) without their consent
  • Are submitted by a competitor for the purpose of harming a facility's reputation
  • Contain spam, promotional content, or links to external websites
  • Violate any applicable law

6.4 Review Retention After Account Deletion

This is an important provision. Please read it carefully.

If you delete your account, your reviews will remain on the Site attributed to "Anonymous Reviewer." The review text and star rating will be preserved. Your display name, profile photograph, and email address will be removed from the review record. This policy exists to protect the integrity of our community ratings and to prevent the manipulation of facility ratings through strategic account deletion.

By submitting a review, you acknowledge and consent to this retention policy. This policy is consistent with the FTC Consumer Review Fairness Act (15 U.S.C. § 45b), which protects the right of consumers to publish honest reviews of businesses.

6.5 Our Right to Moderate Content

We reserve the right, but not the obligation, to review, edit, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We use a combination of automated moderation (powered by OpenAI's content moderation API) and human review for flagged content. Removal of content does not constitute an admission of liability on our part.

We are not responsible for User Content submitted by third parties. Our moderation practices are consistent with our protections under Section 230 of the Communications Decency Act (47 U.S.C. § 230).

6.6 FTC Consumer Review Fairness Act Compliance

We are committed to compliance with the FTC Consumer Review Fairness Act. We do not suppress, remove, or penalize honest reviews based on their sentiment. We do not require users to sign non-disparagement agreements as a condition of using the Site. We do not remove negative reviews except where they violate our content standards as described in Section 6.3.

7. Subscriptions and Payments

7.1 Subscription Plans

We offer paid subscription plans for facility owners as described on our pricing page at thecareratings.com/pricing. Subscription fees, features, and terms are subject to change with 30 days' notice to existing subscribers.

7.2 Billing and Renewal

Subscriptions are billed annually. Your subscription will automatically renew at the end of each subscription period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for the renewal amount. You will receive a reminder email 30 days before your renewal date.

7.3 Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's terms of service. We do not store your full credit card number. You are responsible for ensuring your payment information is current and accurate.

7.4 Subscription Lapse and Downgrade

If your subscription payment fails, we will attempt to notify you and provide a 14-day grace period during which your listing remains fully active. If payment is not received within the grace period, your subscription will lapse and your listing will be downgraded as follows:

  • Your Verified badge will be replaced with a Community Listed badge
  • Your enhanced profile content (photos, team bios, custom description, pricing, amenities) will be hidden from public view but preserved in your account
  • Your listing will be removed from the lead referral program
  • Your analytics dashboard will be locked

All content you have entered is preserved in our database and will be restored immediately upon renewal. We do not delete content upon subscription lapse.

7.5 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting sales@thecareratings.com. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial subscription periods.

7.6 Refund Policy

Subscription fees are generally non-refundable. We may, at our sole discretion, issue a refund in cases where a technical error on our part prevented you from accessing paid features. Refund requests must be submitted within 30 days of the charge to sales@thecareratings.com.

8. Lead Referral Program

8.1 Eligibility

The lead referral program is available exclusively to facility owners with an active paid subscription. Participation is automatic upon subscription activation and ceases upon subscription lapse or cancellation.

8.2 Nature of Referrals

Our AI Care Advisor qualifies families seeking senior care and matches them with eligible facilities based on care type, location, budget, and other criteria. When a match is made, our referral coordinator will contact both the family and the facility to facilitate an introduction. We do not guarantee any minimum number of referrals.

8.3 No Referral Fees

We do not charge per-referral fees. Referral program access is included in your annual subscription. We reserve the right to introduce a referral fee structure in the future with 60 days' notice to existing subscribers.

8.4 Referral Data

When a referral is made, we share the family's stated care needs (care type, timeline, location preference, budget range, and special requirements) with the matched facility. We do not share the family's name, email address, or phone number without their explicit consent.

9. Dispute and Report System

9.1 Filing a Report

Registered users with verified accounts may file a report against a facility listing if they believe the listing contains false information, has been fraudulently claimed, or otherwise violates these Terms. Reports must be filed in good faith and must be truthful to the best of the reporter's knowledge.

9.2 Bad-Faith Reports

Filing a report that you know to be false or misleading is a violation of these Terms. If we determine that a report was filed in bad faith — including for the purpose of harassing a competitor — the reporting account may be suspended or permanently terminated. We reserve the right to pursue legal remedies against individuals who file knowingly false reports.

9.3 Dispute Timeline

Upon receipt of a report, the listing owner will be notified and given 30 days to respond. We will issue a decision within 60 days of the filing date. Both parties will be notified of the decision by email. Decisions may be appealed within 14 days by emailing legal@watchdigital.agency.

9.4 Listing Status During Dispute

Listings remain active and publicly visible during the dispute review process. We do not remove or restrict listings based solely on the filing of a report.

10. Intellectual Property

10.1 Our Content

All content on the Site created by Watch Digital LLC — including but not limited to the site design, logo, brand identity, editorial content, AI-generated content, and software — is the property of Watch Digital LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.

10.2 Government Data

Facility data sourced from government databases (CMS, Census Bureau, CDC, AHRQ, HUD) is in the public domain and is not subject to copyright protection. We make no copyright claim over government-sourced data.

10.3 Your Content

As described in Section 6.1, you retain ownership of User Content you submit. You grant us a license to use your content as described in that section.

10.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Site or Service, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use that feedback for any purpose without compensation to you.

11. Prohibited Conduct

You agree not to use the Site to:

  • Violate any applicable federal, state, or local law or regulation
  • Submit false, misleading, or fraudulent information
  • Impersonate any person or entity, including facility owners or our staff
  • Manipulate facility ratings through fake reviews, coordinated review campaigns, or other deceptive means
  • Scrape, crawl, or harvest data from the Site using automated tools without our express written permission
  • Interfere with or disrupt the Site's infrastructure, servers, or networks
  • Attempt to gain unauthorized access to any part of the Site or any other user's account
  • Use the Site for any commercial purpose other than as expressly permitted by these Terms
  • Transmit any malware, viruses, or other harmful code
12. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WATCH DIGITAL LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION ON THE SITE.

THE INFORMATION ON THIS SITE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, LEGAL, OR FINANCIAL ADVICE. ALWAYS SEEK THE ADVICE OF QUALIFIED PROFESSIONALS BEFORE MAKING DECISIONS ABOUT SENIOR CARE PLACEMENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WATCH DIGITAL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Watch Digital LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your User Content; (d) your violation of any third party's rights; or (e) your violation of any applicable law.

15. Section 230 Notice

The Care Ratings is an interactive computer service as defined by 47 U.S.C. § 230 (the Communications Decency Act). We are not the publisher or speaker of any User Content submitted by third parties. We are not liable for any User Content submitted by users of the Site. Our moderation decisions — including the decision to remove or retain User Content — do not affect our status as an interactive computer service provider under Section 230.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia. You consent to the personal jurisdiction of such courts.

Informal Resolution: Before initiating any legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at legal@watchdigital.agency. We will attempt to resolve the dispute within 30 days.

Waiver of Class Action: To the fullest extent permitted by law, you waive your right to participate in a class action lawsuit or class-wide arbitration against Watch Digital LLC.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (if you have an account) and by posting a prominent notice on the Site at least 30 days before the changes take effect. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the updated Terms.

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Advertiser Disclosure, constitute the entire agreement between you and Watch Digital LLC regarding the Site and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
